Terms of Service

1. Who you are contracting with
These terms are a legal agreement between you and Virexa ("Virexa", "we", "us"), operated from Helsinki, Finland, the provider of the Virexa service. Questions about these terms can be sent to support@virexainvoice.com.
2. Acceptance of these terms
By creating an account, subscribing to a plan, or otherwise accessing or continuing to use Virexa, you agree to be bound by these terms. If you do not agree, you must stop using the service. If you use Virexa on behalf of a company or other organisation, you confirm you have authority to bind that organisation; if you use it as an individual, you confirm you are of legal age. We may update these terms, and continued use after an update constitutes acceptance of the updated terms.
3. The service
Virexa provides invoicing, receipt scanning (OCR), mileage tracking, ALV (VAT) calculations, reporting and an AI tax assistant, available in Free, Pro and Business plans. We grant you a limited, non-exclusive, non-transferable right to use the service within the plan you have selected. The service is provided "as is"; we do not guarantee that it will be uninterrupted, timely, secure or error-free, and we disclaim all implied warranties, including merchantability and fitness for a particular purpose, to the fullest extent permitted by law.
4. Your account
You are responsible for keeping your credentials confidential, for all activity under your account, for providing accurate information and keeping it up to date, and for the data you create in your workspace. You may export or delete your data at any time.
5. Acceptable use and prohibited conduct
You must not misuse the service. In particular, you must not:
- use the service for any unlawful purpose or in breach of Finnish or EU law;
- commit fraud, send spam, or issue deceptive or fictitious invoices;
- infringe the intellectual property, privacy or other rights of any third party, or upload content you do not have the rights to;
- interfere with the security or integrity of the service — including malware, probing, penetration testing without permission, scraping, or unauthorised access attempts;
- reverse engineer, decompile, resell or redistribute the service, or circumvent plan limits, usage counters or other technical restrictions;
- use the AI assistant to generate illegal, hateful, deceptive or harmful content, or to attempt to bypass its safeguards.
6. Intellectual property
Virexa retains all right, title and interest in and to the service, including its software, source code, design, documentation, trademarks, logos and branding. No rights are granted other than the limited licence described in section 3. You retain ownership of the content and business data you upload; you grant us a limited licence to host, process and display that content solely to provide the service to you. If you believe content on the service infringes your rights, contact support@virexainvoice.com and we will review and, where appropriate, remove it; repeat infringement leads to account termination.
7. AI outputs
The AI tax assistant offers guidance, not legal, accounting or tax advice. Outputs may be inaccurate or incomplete and must be verified before you rely on them. You are responsible for your prompts, for having the rights to any content you submit, and for how you use the outputs. For binding decisions, consult a qualified Finnish tax professional. We may filter, refuse or moderate prompts and outputs.
8. Billing & Merchant of Record
The Free plan is free of charge. Paid plans are subscriptions that renew automatically for the selected billing period until cancelled, and can be cancelled at any time from your billing page.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms. See also our Refund Policy. 9. Suspension and termination
We may suspend or terminate your access to the service, in whole or in part, with notice where reasonably practicable, if: you materially breach these terms; payment for your plan fails or remains outstanding; there is a security, fraud or legal risk arising from your use; or you repeatedly or seriously violate the acceptable use rules in section 5. You may stop using the service and delete your account at any time. On termination your licence ends; you may export your data before deletion, and after a reasonable export window your workspace data is deleted or anonymised.
10. Liability
To the extent permitted by law, our aggregate liability arising out of or related to the service is limited to the fees you paid in the twelve (12) months before the claim. We are not liable for indirect, consequential or special damages, including loss of profits, data or goodwill, nor for decisions made solely on the basis of AI output. Nothing excludes liability for fraud, death or personal injury where such exclusion is prohibited by law. You indemnify us against third-party claims arising from your content, your unlawful use, or your breach of these terms.
11. General
You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. These terms are governed by the laws of Finland, and disputes are resolved in the District Court of Helsinki.
